Scope

The contract is concluded upon receipt of the order by EDAPRO GmbH. The General Terms and Conditions (GTC) are binding in all cases. Amendments and supplementary agreements are only effective if confirmed in writing by EDAPRO GmbH. By placing an order, the buyer accepts the applicable GTC. The buyer is responsible for checking the suitability and correct application of products purchased through EDAPRO GmbH.

Prices / Payment

Prices listed in brochures, technical data sheets, on the website, etc., are always in the currency specified and exclude VAT. VAT, as well as transport, postage, and packaging costs, are shown separately. The payment period is 30 days. If the buyer fails to meet the payment deadline, they will be in default without further notice and will owe default interest of 7%. Prices are subject to change and errors excepted. Only the prices listed in the respective contract (including on the website) are authoritative. Current prices on all EDAPRO GmbH documents replace all previous editions.

Resale

Resale is only permitted in our original packaging. Resale abroad is prohibited unless we give our express consent.

Shipping Method, Delivery, and Partial Deliveries

EDAPRO GmbH is responsible for choosing the appropriate shipping method (truck delivery or parcel service). Delivery delays outside the control of EDAPRO GmbH do not entitle the buyer to compensation or to withdraw from the contract. If not all items are immediately available, it is at the discretion of EDAPRO GmbH to make partial deliveries.

Cancellations & Returns

EDAPRO GmbH grants a voluntary right of return within 14 days of the shipping date. The customer bears the full cost of the return shipment.

A return is only possible if the item is in its unopened original packaging, the packaging has not been resealed or damaged, and the shipment was made no more than 14 days ago. Living products (e.g., compost tea cultures, microbial substrates) and opened consumables are excluded from return.

If an order is canceled before shipping, no shipping costs are incurred. If the order has already been shipped, the buyer bears the return costs in accordance with the above regulation.

Retention of Title

The goods remain the property of EDAPRO GmbH until full payment has been made.

Postage & Packaging

Surcharges for postage and packaging are defined in the online shop and displayed to the buyer during the ordering process. For truck deliveries, delivery is always on Euro pallets (EPAL-compliant); please have exchange pallets ready for the truck driver, otherwise a corresponding fee will be charged. The buyer bears the costs for any subsequent collection of empty pallets. EDAPRO GmbH informs the buyer of the respective delivery times for truck deliveries; these may vary depending on the order content.

Transfer of Risk, Transport Damage

Benefit and risk pass to the buyer upon shipment of the goods. Please inspect the goods ordered from EDAPRO GmbH upon receipt. Damage caused by transport or shipping must be reported immediately to the carrier or the postal/courier service upon acceptance. Photos of the condition of the goods upon delivery are very helpful for subsequent claims for damages against the carrier. Transport insurance will be taken out by EDAPRO GmbH at the request and expense of the buyer. Otherwise, the goods travel uninsured, even if the shipping costs are covered by EDAPRO GmbH.

Liability for Defects

EDAPRO GmbH guarantees product quality in accordance with EDAPRO GmbH specifications at the time of the transfer of risk. The buyer must inspect the goods immediately upon receipt. Complaints must be reported in detail to EDAPRO GmbH within 7 days.

General Liability

Information on application in product catalogs, technical data sheets, on the website, etc., are general guidelines. The information on the packaging (label and instructions for use) is authoritative and binding for the application. Various factors such as stocking density, weather, choice of crop and variety, cultivation measures, soil conditions, resistance, application technology, and product mixtures can influence the effectiveness of the products. EDAPRO GmbH accepts no liability for this. During storage and application, the information on the label and in the instructions for use must be observed and followed. EDAPRO GmbH is not liable for insufficient effectiveness or damage, such as phytotoxicity, resulting from circumstances beyond the control of EDAPRO GmbH.

Force Majeure / Delivery Delays

Force majeure events release EDAPRO GmbH from its delivery obligations. In this case, the buyer has no claim for damages.

If a delivery is not available or only available at a later date due to force majeure or lack of own supply, EDAPRO GmbH reserves the right to withdraw from the sales contract regarding the affected products or to extend the delivery periods. EDAPRO GmbH will inform the buyer immediately of the unavailability or the delayed delivery period.

Severability Clause

Should any provision of these General Terms and Conditions be invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

Place of Performance, Choice of Law, Jurisdiction

The GTC are subject to Swiss law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. All obligations arising from the contractual relationship with the buyer are subject to Swiss law. The place of jurisdiction is Zurich.
